NOTICE: Notice is hereby given that the 3rd ANNUAL GENERAL MEETING OF BIJ ORGANIC Farmer Producer Company ltd. will be held on Saturday 30th September 2023 at 11 a.m at Vill. BAGWARA PO BAGWARA Tehsil Dhampur Distt.Bijnor, to transact the following business.
To consider and adopt the Balance sheet as at 1Sst March 2023 and profit and loss account and cash flow statement of the company ended on March 2023.
To appoint auditor.
To consider and approve budget of the company for FY 2023.
To consider and appoint Director in place of Shri ASHOK KUMAR DIN NO …… who died on ……
To consider and approve appointment of SHRI SHOBIT JAIN as Director of the company in place of DEVENDER KUMAR promoter whose continue long absence causing harm to the affair of the company and do not turn despite repeated notice.
To consider any other matter with consent of the chairman.

MINUTES OF THIRD ANNUAL GENERAL MEETING OF
BIJ ORGANIC FARMER PRODUCER COMPANY LTD. Held on SEPTEMBER 30,2023 at 11am at village BAGWARA PO BAGWARA, Tehsil Dhampur, Distt. Bijnor.

80 shareholders 10 Directors total 90 are present in person holding 900 shares. Shri Ajay Pal Singh took the chair and declared that the quorum is present in term of Article of Association of the Company. He stated that the register of Directors and shareholder is available and open for inspection.
Chairman Shri Ajay pal Singh welcome the Members, Directors Gusts and other invitees to the 3rd Annual General meeting of the company. The meeting was then called to order. The chairman then presented the report of the company and Business Plan for next FY 2023-24. He told that the notice convening the 3rd Annual General Meeting has already been circulated to the members.
The chairman than directed to Shri Shakeel Ahmad CEO of the company to regulate the meeting according to Agenda. Mr Shakeel Ahmad took the charge of the meeting with unanimous consent of the members present, he told , that the notice convening the 3rd Annual General Meeting have already been circulated to the members and was taken as to read. Then he proceed to agenda.
Agenda No. 1
To read and confirm, the minutes of last AGM.
The minutes of last AGM dated 25 01 2022 was read over by Mr Shakeel Ahmad, CEO and there was no objection raised by any member, the minutes of previous AGM was approved by the members present and resolution was passed.
Resolution No. 1
It is resoled that minutes of previous 2nd AGM and decision taken during 2nd AGM were approved by general members.

It was seconded by ASHOK KUMAR JI,
Agreed by all members present resolution declared passed.
Agenda no.2
Income and expenditure and Balance sheet FY 2022-23 was circulated and read over point to point. As there was no objection raised by any member present so the following resolution was passed.
Resolution no 2
It is resolved that income and expenditure and audited balance sheet for the year 2022-23 was shared by all members before AGM as all accounts related queries were resolved and approved all members present. Resolution was proposed by NARESH KUMAR JI, it was seconded by BALRAM SINGH JI
Agreed by all members the resolution was passed.
Agenda no. 3
Shri ASHOK KUMAR JI, Director DIN No died on and a seat fall vacant in Board of Director. It is proposed to fill the vacancy by Mrs. ADESH KUMARI JI, who is wife of deceased and seat is being filled on inheritance.
Resolution No. 3
It resolved that vacancy will be filled by Mrs. ADESH KUMARI JI, no objection was raised by any member present. The resolution was passed. The resolution was proposed by MOHD. YOUSUF and it was seconded by KUNWARPAL JI. Agreed by all members present, the resolution was passed.
Agenda No. 4
Agenda 4 was placed by Chairman Shri Ajay Pal Singh himself, he proposed name of Mr. Shakeel Ahmad present CEO, for further appointment as company CEO for next two FY years commencing from FY 2023 to FY 2025 on the same terms and conditions.
Resolution no.4
It was resolved that Mr Shakeel Ahmad is an advocate and leading BIJ ORGANIC to its high, his next term will be beneficial to all. So his appointment and approval is passed by members present for next two terms commencing from April 1st 2023 to March 31st 2025. The resolution was proposed by AJAY PAL SINGH and it was Seconded by NEERAJ KUMAR.
Agreed by all members the resolution is passed.
Agenda No 5
It is resolved that company CA Smt. PUJA RANI’s term expired on FY 31st March 2023 and now a fresh appointment is required for FY 2023-24.
Resolution No 5
It resolved that Smt. Puja Rani is sincere and dedicated Chartered Accounted and familiar with our company and providing regular services. So she be appointed for FY 2023-2024. The resolution was passed by present members. The resolution was Proposed by ANIL KUMAR and seconded by YASHVEER SINGH JI.
Agreed by all members present the resolution is passed.
Agenda No. 6
It is resolved that Mr DEVENDER KUMAR promoter is not taking any interest in the company affairs he is not attending meeting despite repeated request. Notices were issued to him electronically on his mobile, but no response. In the BOD meeting dated 3rd SEPTEMBER 2023, it was decided that the name of DEVENDAR KUMAR be replaced with new member SHOBIT KUMAR s/o VIJAY KUMAR R/o Jain street SEOHARA.
Resolution No. 6
It resolved that the name of Mr. DEVENDER KUMAR will be struck off and Mr. SHOBIT JAIN be replaced. No objection was raised by any member present, the resolution declared pass. The resolution was proposed by Shri JOGENDAR SINGH and it was seconded by Shri SANT RAM.
Agreed by all members the resolution was declared passed.
Agenda No. 7
It resolve that the BIJ ORGANIC earn net profit of Rs 80000 for FY 2023. It is proposed to distribute this amount to Director and Share holder after deducting the expencess of this third Annual General meeting in equal shares in November 2023 after monthly meeting of BOD.
Resolution No 7
It resolved that Net Profit be distributed in NOVEMBER 2023, no objection was raised by any member present so the resolution was declared passed. The resolution was proposed by Devendar Kumar and seconded by Zahid Hussain. Agreed by all members the resolution was declared passed
Than Mr Ajy Pal Singh presented annual report of the company, he discussed in detail the future plan for coming session and called upon the members to collective farming on which the future of this company based. He thanks all guest, participants, officials, stakeholders and members of BIJ ORGANIC FPO to make this annual general meeting a success. Lastly, and after the address by guests Shri GIRISH CHAND JI, D D BIJNOR, Shri JASVEER SINGH TEVATIA JI, DAO, BIJNOR, Shri K K Singh JI KVK NAGINA and Shri HARGIYAN SINGH JI, BIJNOR, the annual General meeting was called to end after reciting National Anthem.
